Terms

These terms of service (the “Terms of Service”) govern your use of Signe. Signe is an online platform which empowers women to find and connect with other women and develop personally as well as professionally (“Signe” or the “Platform”). Signe is provided by Women for Leaders WFL AB, reg. no. 559064-4455, Södra Kungsvägen 159, 18161 Lidingö, Sweden (“Women for Leaders”). By using the Platform and its services, either as a Member, Mentor, or a Visitor, you accept these Terms of Service and agree to be bound by them in relation to all use of the Platform and its services.
The collection, use and sharing of your personal data is subject to our Privacy Policy (which includes our Cookie Policy and other documents referenced in our Privacy Policy) and updates.

1.  MEMBERS, MENTORS AND VISITORS
1.1           When you register and join the Signe community, you become a Member to Signe. If you choose not to register as a Member, you may still access certain features on the Platform as a Visitor.
1.2           A Mentor is someone who shares their experiences and guides the Member on a voluntary basis without compensation.
1.3           Women for Leaders helps Members connect with Mentors. Women for Leaders does not perform nor employs individuals to perform services. If you are a Mentor offering services through the Platform, you represent and warrant that you have all the required licenses and will provide services consistent with these Terms of Service. Neither the Mentor nor the Member is allowed to contact each other to offer or receive services and coaching outside of the Platform for as long as either of them is a Member or a Mentor, and for one year thereafter.
1.4           You must be 18 years or older to register and join the Signe community.

2. COSTS AND FEES
2.1           In order to become a Member, you must subscribe to the Platform and pay a subscription fee (the “Subscription Fee”). Available memberships and their respective Subscription Fee are visible on the Company´s website.
2.2           Payment of the Subscription Fee is made through a payment platform and your credit card on file will be charged on a recurring basis. When you sign up to become a Member, you are agreeing to pay and take responsibility for all charges made in accordance with these Terms of Service, and your subscription will automatically renew at the end of the subscription term unless you cancel as further set forth herein. If your credit card on file is closed or changed, or if, for any reason, a charge is rejected, you shall immediately update your payment information as well as your credit card information, or supply a new credit card, as appropriate. If you are unable to update your credit card account with appropriate information, then Women for Leaders will send an invoice to you detailing the amount due. You must pay the amount due in full within ten days after the date of the invoice. If no payment is received on the expiry date, Women for Leaders may terminate your membership.
2.3           The membership will automatically renew at the end of the applicable subscription period unless you cancel your membership before an upcoming renewal day. The cancellation will take effect after thirty days, and you will after that no longer have access to the Platform.
2.4           Women for Leaders will communicate price changes to you in advance. Price changes will take effect at the start of the next subscription period following the date of the price change. You accept the new price by continuing to use the Platform after the price change takes effect. If you do not agree with a price change, you may close your Member account.

3. CHANGES
Women for Leaders may modify these Terms of Service, our Privacy Policy, and our Cookies Policy from time to time. Women for Leaders may change, suspend, or discontinue the Platform and any services provided on it. Women for Leaders may also modify our prices effective prospectively upon reasonable notice to the extent allowed under the law. If Women for Leaders make material changes to these Terms of Service, we will provide you with a notice through the Platform, or by other means, to provide you the opportunity to review the changes before they become effective. We agree that changes cannot be retroactive. If you object to any changes, you may close your Member account. Your continued use of the Platform after we publish or send a notice about our changes to these Terms of Service means that you are consenting to the updated terms as of their effective date.

4. THE PLATFORM
4.1           You agree and accept that the Platform is hosted online by Women for Leaders and its infrastructure providers. Women for Leaders will use commercially reasonable endeavours to make the Platform available 24 hours a day, seven days a week, except for routine and emergency maintenance. However, access to the Platform is not guaranteed. Women for Leaders will not be liable if the Platform or any content on it is unavailable at any time for any reason. From time to time, Women for Leaders may restrict access to some parts of the Platform at our sole discretion.
4.2           Women for Leaders reserves the right to upgrade, maintain, tune, backup, amend, add, or remove features, redesign, improve or otherwise alter the Platform at its sole discretion. Women for Leaders is not responsible to you for any loss of data stored on the Platform whatsoever.

5. USE OF THE PLATFORM
5.1           Members are account holders. You agree to: (1) use a strong password and keep it confidential; (2) not transfer any part of your account (e.g., connections) and (3) follow the law, our list of Dos and Don’ts and Professional Community Policies . You are responsible for anything that happens through your account unless you close it or report misuse.
5.2           Women for Leaders may revoke or suspend access to the Platform, delete data held by us in your account on the Platform, or terminate your Member account completely, at any time at its sole discretion, including if you are in breach of these Terms of Service or fail to comply with Women for Leaders’ reasonable request to remedy such breach within a reasonable time period.
5.3           You must only use the Platform for legal purposes and must not use it to engage in any conduct that infringes third party rights, is unlawful, immoral, threatening, offensive, discriminatory, abusive or in a way that is deemed unreasonable by Women for Leaders in its sole discretion.
5.4           Content available on the Platform is not, and will not be construed as, financial, or other professional advice. You should not rely on any content available on the platform as the basis for making a financial decision or any form of investment. If in doubt, you should seek independent professional advice. Women for Leaders disclaims all liability and responsibility arising from any reliance placed on such materials by any user of the Platform, or by anyone who may be informed of any of its contents.  By using the Platform or its services, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, offensive, or otherwise harmful. Women for Leaders does not review content provided by the Mentor or the Member, and Women for Leaders is not responsible for any information, content or material between the Member and the Mentor. You acknowledge that Women for Leaders does not supervise, direct, control, monitor Members or Mentors in the performance of services and agree that (1) Women for Leaders is not responsible for the offering, performance or procurement of these services, (2) Women for Leaders does not endorse any particular Mentor´s offered services, and (3) nothing creates an employment, agency or joint venture relationship between Women for Leaders and any Member or Mentor.
5.5           We use the information and data that you provide and that we have about Members to make recommendations for connections, content and features that may be useful to you. Keeping your profile accurate and up to date helps us to make these recommendations more accurate and relevant.
5.6           Women for Leaders is not responsible for any third party content hosted on the Platform, or for any arrangements that you might enter into as a result of your use of the Platform with another user or with an organization that promotes its goods and services through the Platform. You must always conduct your own due diligence and seek appropriate independent professional advice in such circumstances.
5.7           You must not copy, re-use or otherwise adapt any content available on the Platform without the prior written permission of Women for Leaders (or the appropriate third-party owner, as applicable).
5.8           You must not misuse the Platform by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Platform or attempt to prevent or restrict access to the Platform in any way.
5.9         We are not liable for any loss or damage caused by any harmful material that may infect your computer equipment, computer programs, or data as a result of your use of the Platform or to your downloading of any material posted on it, or on any website linked to or from it.

6.  INTELLECTUAL PROPERTY
6.1           The Platform incorporates software and other proprietary systems and intellectual property owned by Women for Leaders or which Women for Leaders has appropriate authority to use, and you agree that such is protected by copyright, trademarks, patents, proprietary rights and other laws, both domestically and internationally. Women for Leaders reserves all its intellectual property rights in the Platform. Trademarks and logos used in connection with the Platform or its services are the trademarks of their respective owners. Women for Leaders and Signe logos and other trademarks, service marks, graphics and logos used for our Services are trademarks or registered trademarks of Women for Leaders.
6.2           Subject to compliance with these Terms of Service, you are granted a limited, non-transferable, non-exclusive, and revocable license to access and use the Platform for as long as you are a Member for your personal purposes only.
6.3           As between you and Women for Leaders, you own the content and information that you submit or post to the Platform, and you are only granting Women for Leaders and our affiliates the following non-exclusive license:
A worldwide, transferable and sublicensable right to use, copy, modify, distribute, publish and process, information and content that you provide through the Platform and the services of others, without any further consent, notice and/or compensation to you or others. You can end this licence for specific content by deleting such content from the Platform, or generally by closing your account, except (a) to the extent you shared it with others on the Platform and they copied, re-shared it or stored it and (b) for the reasonable time it takes to remove from backup and other systems.
6.4           You agree that you must not:
(a)     copy the Platform or services that it provides or content available on it for your own commercial purposes; and
(b)     directly or indirectly copy, recreate, decompile, reverse engineer, or otherwise obtain, modify, or use any source or object code, architecture, algorithms contained in the Platform or any documentation or content associated with it.

7. NO WARRANTIES
7.1           You acknowledge and agree that the Platform (including all content, function, and services) is provided "as is," without any warranty of any kind, either express or implied, including any additional warranty for information, data, data processing services or uninterrupted access, any warranties concerning the availability, accuracy, completeness, usefulness, or content of information, and any warranties of title, non-infringement, merchantability or fitness for a particular purpose.
7.2           Women for Leaders does not warrant that the Platform (or the function, content or services made available within it) will be timely, secure, uninterrupted or error free. Women for Leaders makes no warranty that the Platform will meet your expectations or requirements. No advice, results or information, or data whether oral or written, obtained through the Platform will create any warranty not expressly made herein. If you are dissatisfied with the Platform or its services, your sole remedy is to close your Member account and discontinue using the Platform.
7.3           You acknowledge that the Platform is hosted on third party infrastructure, and Women for Leaders is not liable to you for any costs, losses, damages, downtime, or other liability arising from the use of or reliance upon such third party infrastructure.
7.4           Each party acknowledges that it has not relied on any representation, warranty or statement made by any other party, other than as set out in these Terms of Service.

8. LIABILITY & INDEMNITY
8.1           You agree that you use the Platform at your own risk.
8.2           You acknowledge that Women for Leaders is not responsible for the conduct or activities of any other user on the Platform and that Women for Leaders is not liable for such under any circumstances.
8.3           You agree to indemnify Women for Leaders for any loss, damage, cost or expense that Women for Leaders may suffer or incur as a result of or in connection with your use of or conduct in connection with the Platform in breach of these Terms of Service.
8.4           Except as required by law, Women for Leaders’ maximum liability to you in relation to these Terms of Service and the Platform will not exceed any fees paid by you in the twelve months preceding the date of the liability arising.
8.5           Under no circumstances will Women for Leaders be liable to you for any incidental, consequential or indirect damages, loss or corruption of data, loss of profits, goodwill, bargain or opportunity, loss of anticipated savings or any other similar or analogous loss resulting from your access to, or use of, or inability to use the platform, whether based on warranty, contract, tort, negligence, inequity or any other legal theory, and whether or not Women for Leaders knew or should have known of the possibility of such damage, to business interruption of any type, whether in tort, contract or otherwise.

9. FEEDBACK
You may from time to time elect, in your sole discretion, to provide suggestions, comments, improvements, ideas or other feedback to Women for Leaders related to the Platform or its services (“Feedback”). Feedback is provided on an “as is” basis with no warranties of any kind. By providing Feedback you give Women for Leaders a royalty-free, worldwide, sublicensable, transferable, non-exclusive, perpetual, and irrevocable right and license to use and disclose the Feedback.

10. TERMINATION
Both you and Women for Leaders may terminate your Member account at any time with thirty (30) days written notice to the other. On termination, you lose the right to access your Member account and to use services provided on the Platform. The following will survive termination:  
-     Sections 5.6, 7, 8, 9 and 11 of these Terms of Service; and
-     Any amounts owed by either party prior to termination remain owed after termination.

11. GOVERNING LAW & JURISDICTION
11.1         These Terms of Service are governed by and construed and enforced in accordance with the laws of Sweden.
11.2         Each Party expressly agrees that exclusive jurisdiction for resolving any claim or dispute between you and Women for Leaders relating in any way to use of the Platform is with the courts of Sweden.

12. OTHER PROVISIONS
12.1         You may not assign or otherwise license or transfer any of your rights and obligations under these Terms of Service.
12.2         No clause of these Terms of Service will be deemed waived and no breach excused unless such waiver or consent is provided in writing.
12.3         Any clause of these Terms of Service, which is invalid or unenforceable is ineffective to the extent of the invalidity or unenforceability without affecting the remaining clauses of these Terms of Service.
12.4         Any part of these Terms of Service may be amended by Women for Leaders at any time, and any aspect of the Services or the platform may be updated or discontinued at any time. Any changes to these Terms of Service which will significantly affect your rights and obligations will be informed of in advance of such changes taking effect.
